Collaborator Loop Terms & Conditions.

Effective Date: Monday 2nd September 2024

Welcome to the Collaborator Loop Programme! Before participating, please carefully read the following terms and conditions. By signing up for the programme, you agree to comply with these terms.

1. Affiliate Relationship

  • As a participant in the Collaborator Loop Programme, you are considered an independent contractor. This agreement does not create any form of employment, partnership, or joint venture between you and Blu Design Studio Limited.

  • You are responsible for managing your own business activities, including compliance with all applicable laws and regulations, such as tax obligations.

2. Tax Responsibilities

  • As an independent contractor, you are solely responsible for reporting and paying any taxes, including income tax and Goods and Services Tax (GST), associated with commissions earned through the programme.

  • Blu Design Studio Limited will not withhold any taxes on your behalf. We recommend consulting with a tax professional or Inland Revenue (IR) to ensure you meet all tax obligations under New Zealand law.

3. Commission Structure

  • The commission rate starts at 10% on our Bronze Loop and increases as you progress through the tiers of the programme. The current tiers and commission rates are outlined on our website here.

  • Invoices will be sent to you for each sale you refer. At the end of each month, we will calculate your total referred sales and pay you the earned commission, along with a detailed breakdown of your payout.

  • Commissions are paid out monthly, provided your total earnings exceed the minimum payout threshold of $50. If your earnings do not meet this threshold, they will roll over to the next month.

4. Programme Tiers and Criteria

  • The programme consists of multiple tiers, each with its own criteria and benefits. Your tier is determined by the total sales you refer or the number of clients you bring to Blu Design Studio Limited.

  • The criteria for each tier, including the commission rates and the sales thresholds, are subject to change at any time. Blu Design Studio Limited reserves the right to adjust these criteria as necessary, and we will notify you of any changes.

5. Order Returns and Refunds

  • If a client you referred returns an order, the corresponding commission will be deducted from your next payout.

  • You are expected to maintain accurate records of all referred sales and be aware of any returns that may impact your commission.

6. Marketing and Promotion

  • You are responsible for promoting Blu Design Studio Limited in a lawful and ethical manner. This includes not making any false or misleading claims about our products or services.

  • We reserve the right to terminate your participation in the programme if we find that you are engaging in deceptive marketing practices, violating any laws or regulations, or failing to comply with the Fair Trading Act 1986 or any other applicable New Zealand legislation.

7. Changes to the Programme

  • Blu Design Studio Limited reserves the right to modify or discontinue the Collaborator Loop Programme at any time. This includes changes to commission rates, tier criteria, payment schedules, and any other aspect of the programme.

  • Any changes to the programme will be communicated to you via email or through your affiliate dashboard. It is your responsibility to stay informed of these changes.

8. Termination

  • You may terminate your participation in the programme at any time by providing written notice to Blu Design Studio Limited.

  • Blu Design Studio Limited reserves the right to terminate your participation in the programme for any reason, including but not limited to violation of these terms and conditions, inactivity, or fraudulent activity.

  • Upon termination, any outstanding commissions due to you will be paid out in the next scheduled payment cycle, provided they meet the minimum payout threshold.

9. Confidentiality

  • Any confidential information shared with you as part of the programme, including but not limited to sales data, marketing strategies, and customer information, must be kept confidential and not disclosed to any third parties.

10. Governing Law

  • These terms and conditions are governed by the laws of New Zealand. Any disputes arising from or related to the programme will be resolved in the courts of New Zealand.

11. Acceptance of Terms

  • By signing up for the Collaborator Loop Programme, you acknowledge that you have read, understood, and agree to these terms and conditions.
